By 2020, all of that was on land. The Spanish State intervened through the ICC with a rescue loan of 475 million euros, the largest lifeline of the pandemic era granted to a Spanish private company. painful truth. Cross-border airline consolidation is essentially impossible. EU ownership rules limit foreign control to 49%. Competition authorities block obvious mergers. Geography and regulation always win. Then, in August 2025, Turkey Sherlines committed 300 million euros to acquire an approximately 26% stake in Air Europa, structured as a 275 million euro convertible loan, plus 25 million euros in

direct equity. The Spanish Council of Ministers formally approved the foreign investment in June 2026. The final approval is still pending review by the European Commission scheduled for the end of 2026, but this is what makes no sense. Turkish Airlines is not buying control, it is not merging Air Europa with its operation, nor is it even
